Acceptance of Terms

These Terms of Service and Risk Disclosure ("Terms") form a binding agreement between you ("you," "user," or "subscriber") and Sam Signals Trades LLC ("we," "us," "SAM," or the "Company"), which operates samcomplete.com, the SAM software and indicators, and the associated Discord community (collectively, the "Service").

By accessing the Service, creating an account, joining the Discord, completing a purchase, or checking the box agreeing to these Terms at checkout, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

You represent that you are at least 18 years old and legally able to enter into this agreement.

What SAM Is — and Isn't

SAM (Smart Asset Monitor) is a software tool and information service that analyzes market data and generates technical signals, scores, and indicators, which are distributed identically and simultaneously to all subscribers of a given tier through Discord and TradingView. The Service is informational and educational in nature.

The Service does not:

• Provide advice tailored to any individual's financial situation, objectives, or risk tolerance;
• Place, route, execute, manage, or have any access to your brokerage account or funds;
• Act as your investment adviser, broker-dealer, financial planner, or fiduciary;
• Solicit or recommend any specific securities transaction for you personally.

Not Investment Advice

All content, signals, scores, levels, alerts, commentary, and materials provided through the Service are general market information distributed impersonally to all subscribers and are provided for informational and educational purposes only. They are not, and should not be construed as, investment, financial, legal, accounting, or tax advice, nor as a recommendation, solicitation, or offer to buy, sell, or hold any security, derivative, or financial instrument.

The Company is not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, the NFA, or any state securities regulator as an investment adviser, broker-dealer, commodity trading advisor, or in any similar capacity. No member, moderator, employee, or representative of the Service is authorized to, and none will, provide you with personalized or individualized investment advice. Please do not request individualized advice; requests for it will be declined.

You should consult your own licensed financial adviser, broker, attorney, and tax professional before making any investment or trading decision.

Your Decisions Are Your Own

Any trade you enter, size, hold, or exit is your own independent decision, made in your own brokerage account based on your own analysis and judgment. SAM signals are one input among many that you may choose to consider or ignore entirely.

You acknowledge and agree that you bear sole responsibility for all of your trading and investment decisions and their outcomes, including the timing of any entry and exit, position sizing, and risk management. The Company has no involvement in, control over, or responsibility for your account, your trades, or your results.

Risk Disclosure

Trading and investing in securities, options, futures, and other financial instruments involves a substantial risk of loss and is not suitable for every investor. You may lose some or all of your invested capital, and in certain instruments you may lose more than your initial investment.

Options & leveraged products

Options and other leveraged or derivative products carry a high degree of risk and can result in the rapid and total loss of capital. They are not appropriate for all investors. Before trading options you should read the standardized options disclosure document, "Characteristics and Risks of Standardized Options," available from your broker or the Options Clearing Corporation.

No suitability determination

Because the Service is impersonal and broadcast to all subscribers, it cannot and does not assess whether any signal, instrument, or strategy is suitable for you. Only you, with the help of your own licensed professionals, can make that determination.

Speculative capital only

You should never trade with money you cannot afford to lose, including funds needed for living expenses, retirement, debt obligations, or emergencies.

No Performance Guarantee

The Company makes no guarantee, representation, or warranty of any profit or specific result. Any performance figures, win rates, signal outcomes, testimonials, or examples presented anywhere in the Service or its marketing are provided for illustration only and do not guarantee or predict future results.

Past performance is not indicative of future results. Any results shown may reflect favorable selection or specific market conditions that may not recur. Where results are hypothetical or back-tested, they have inherent limitations: they are prepared with the benefit of hindsight, do not involve financial risk, and do not account for the impact of real trading, fees, slippage, or your individual execution. No representation is made that any account will achieve profits or losses similar to those shown.

Data Accuracy & Availability

Signals, order-flow data, scores, and all other information are provided on an "as is" and "as available" basis. Market data may be delayed, incomplete, inaccurate, or interrupted. The Service relies on third-party data feeds and platforms (including but not limited to Discord, TradingView, and Stripe) whose availability and accuracy we do not control.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, and we are not liable for any loss arising from reliance on data that is delayed, missing, or incorrect, or from any outage, latency, or technical failure.

Billing & Subscriptions

The Service is offered on a recurring subscription basis. By subscribing, you authorize the Company and its payment processor (Stripe) to charge your payment method the applicable recurring fee until you cancel.

• Recurring billing: Subscriptions renew automatically each billing period (e.g., monthly) at the then-current price unless cancelled before the renewal date.
• Price changes: We may change subscription prices; any change will apply to billing periods after reasonable notice to you.
• Cancellation: You may cancel at any time. Cancellation stops future renewals; your access continues until the end of the current paid billing period. Cancel self-serve from the SAM App under Account → Manage billing, or by emailing support@samcomplete.com.
• Payment processing: Payments are processed by Stripe. We do not store your full card details. Your use of checkout is also subject to Stripe's terms.

Refund Policy

Because the Service grants immediate access to digital content, software, and a live signal feed upon purchase, all sales are final and subscription fees are non-refundable, except where required by applicable law. Cancelling a subscription prevents future charges but does not retroactively refund the current or prior billing periods.

If you believe you were charged in error, contact us at support@samcomplete.com within 3 days and we will review the matter in good faith.

Access, Accounts & Conduct

Your subscription grants you a personal, non-transferable, revocable license to access the Service for your own individual use. You agree not to:

• Share, resell, redistribute, screenshot for distribution, stream, or republish signals, indicators, or any Service content to non-subscribers;
• Share your account, Discord access, or TradingView invite-only script access with any other person;
• Reverse-engineer, copy, or attempt to recreate the SAM indicators or signal logic;
• Use the Service for any unlawful purpose or in violation of Discord's or TradingView's terms.

Violation may result in immediate termination without refund. The Service is intended for users in jurisdictions where its use is lawful; you are responsible for compliance with the laws that apply to you.

Intellectual Property

All software, indicators, signal logic, scores, branding, text, and other materials provided through the Service are owned by the Company or its licensors and are protected by intellectual property laws. No rights are granted to you except the limited access license described in these Terms.

Affiliate & Referral Program

If you participate in any affiliate or referral program, you agree to additional program terms. Affiliates are independent and are not agents of the Company. Affiliates must not make performance guarantees, income claims, or representations that the Service constitutes investment advice, and must clearly disclose their affiliate relationship. The Company is not responsible for statements made by affiliates that violate these Terms or applicable law.

Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any conduct we reasonably believe is harmful to the Service or other users. Upon termination your license ends and you must cease using the Service. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

Limitation of Liability

To the maximum extent permitted by law, the Company and its owners, members, employees, and affiliates shall not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, or punitive damages, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the Company's total aggregate liability for any claim relating to the Service shall not exceed the amount you paid to the Company in the 3 months preceding the event giving rise to the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify and hold harmless the Company and its owners, members, employees, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your trading decisions, or your violation of these Terms or applicable law.

Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted to this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

Governing Law & Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any dispute arising under these Terms shall be resolved through binding arbitration conducted in Ingham County, Michigan, on an individual basis; either party may instead bring an individual claim that qualifies in small claims court. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
